About this role
Corporate Governance & Compliance
- Oversee corporate governance and statutory compliance across the Group’sentities in Singapore, Hong Kong and Vietnam through appointed professional service providers.
- Maintain oversight of corporate records, board and shareholder documentation, beneficial ownership records and changes to the Group’s management or ownership structures.
- Identify and escalate material corporate, legal, tax and compliance risks to the Founder and Group CEO.
Cross-border Financial Operations
- Oversee the Group’s intercompany operating framework, including service agreements, invoicing, monthly settlements and supporting documentation.
- Coordinate external accounting, tax, transfer-pricing and audit providers and monitor key filing and reporting deadlines.
- Maintain oversight of banking relationships, KYC requirements and the reconciliation of revenue received through digital platforms and commercial partners.
Commercial & Platform Matters
- Coordinate the review and management of key intercompany, platform and client-service agreements with support from external legal counsel.
- Maintain oversight of contractual and compliance relationships with Google Play, Apple, Meta and other relevant partners.
Due Diligence & Vendor Management
- Build and maintain a well-organised Group-level legal and financial data room and coordinate due diligence requests from investors, lenders or potential transaction partners.
- Identify documentation or compliance gaps and lead remediation with internal stakeholders and external advisers.
- Select, appoint and manage corporate secretaries, accountants, auditors, tax advisers and external legal counsel within the approved budget.
What we're looking for
- At least 8 years of experience in corporate operations, finance operations, corporate governance, legal operations or a related regional role.
- Experience overseeing multiple legal entities or cross-border operations, preferably within Asia.
- Good working knowledge of corporate governance, intercompany arrangements, compliance, audit and tax-coordination processes.
- Experience managing external accountants, auditors, tax advisers, corporate secretaries and legal counsel.
- Previous involvement in fundraising, due diligence, corporate restructuring or M&A activities.
- Strong business judgement and the ability to coordinate across legal, finance and commercial stakeholders.
- Excellent English communication, negotiation and stakeholder-management skills.
- Experience in gaming, mobile applications, technology or digital advertising is an advantage.
- A qualification in Finance, Accounting, Law, Business or Corporate Governance is advantageous.
